Terms and Conditions

Roshanal is the trading name for Roshanal Infotech Limited and operates an e-commerce marketplace available at roshanalglobal.com together with supporting IT, logistics, and payment infrastructure for the sale and purchase of products within its designated territory.

These general terms and conditions apply to all buyers and sellers on the marketplace and govern your use of the marketplace and related services.

By using the marketplace, you accept these general terms and conditions in full. If you disagree with them, you must not use the marketplace.

If you use the marketplace in the course of a business or organisational project, you confirm that you have the authority to bind that organisation to these terms.

You may not register if you are under 18 years of age.

If you register for an account, you must keep your password confidential, notify us promptly if you become aware of any disclosure, and accept responsibility for activity arising from failure to keep it confidential.

Your account is for your use only and may not be transferred to any third party.

Roshanal may suspend or cancel your account, or edit account details, in its discretion. You may cancel your account by contacting us using the details in section 26.

The marketplace provides an online location for sellers to sell and buyers to purchase products.

Roshanal may accept binding sales on behalf of sellers, but unless Roshanal is expressly identified as the seller, Roshanal is not a party to the contract between buyer and seller.

A binding contract for sale and purchase arises between the buyer and seller once the buyer confirms the purchase via the marketplace.

Product prices must be as stated in the listing, inclusive of applicable taxes where required, and any additional delivery or ancillary charges must be clearly disclosed.

Products must be of satisfactory quality, fit and safe for stated purposes, and sellers must have the legal right to supply them free from unlawful restrictions.

Returns and refunds are managed in accordance with the marketplace returns and refunds policies as amended from time to time.

Roshanal may issue refunds for the product price, applicable shipping fees, or through store credit, vouchers, mobile money transfer, bank transfer, or any other method it determines.

For digital products, services, and fresh food, refunds are limited to failures in delivery unless the seller's terms state otherwise.

You must make payments due under these terms in accordance with the payment information and guidelines published on the marketplace.

Store credits may be earned and managed in accordance with Roshanal Store Credit Terms and Conditions, and may be cancelled or withdrawn at Roshanal's discretion where fraud or foul play is suspected.

Promotions and competitions run by Roshanal or other promoters are governed by the applicable promotion terms published on the website.

Your content includes materials and communications you submit to the marketplace, including reviews, feedback, and comments.

Your content must be accurate, complete, lawful, non-infringing, and must not be offensive, deceptive, threatening, discriminatory, or spam.

You must not use the marketplace to interfere with transactions, solicit off-platform deals, send fake reviews, or request payments outside the authorised process.

Roshanal may review and remove content at its discretion and users may report unlawful material or activity.

You grant Roshanal a worldwide, irrevocable, non-exclusive, royalty-free licence to use, reproduce, adapt, publish, translate, and distribute your content across the marketplace and our marketing channels.

You also grant rights of sub-licensing and enforcement and waive moral rights to the maximum extent permitted by law.

You may view, download for browser caching, print for personal non-commercial use, stream media, and use the marketplace through a web browser subject to these terms.

You must not republish, sell, licence, redistribute, scrape, hack, tamper with, overload, probe, or otherwise misuse the website or mobile applications.

You must not use automated tools except for permitted search engine indexing, and you must not use collected data for direct marketing without express written consent.

Roshanal and its licensors own and control the intellectual property rights in the website and its materials.

Roshanal logos and trademarks remain the property of Roshanal, while third-party marks remain the property of their respective owners.

Buyers agree that personal data will be processed in accordance with Roshanal's privacy and cookie notice.

Sellers are directly responsible to buyers for any misuse of buyer data obtained through the marketplace.

Roshanal operates anti-fraud and anti-money laundering compliance programmes and may perform due diligence checks on marketplace users.

Users agree to provide information, documentation, and access reasonably required to verify compliance or satisfy legal or regulatory obligations.

Roshanal facilitates a marketplace for buyers and sellers and may also itself be the seller of some products.

The relevant seller remains liable for the products sold, and disputes should follow the marketplace dispute resolution process.

Roshanal does not warrant that the marketplace will always operate without fault or remain available during force majeure events.

Nothing in these terms limits liabilities that cannot lawfully be limited or excluded.

Subject to applicable law, Roshanal excludes liability for business losses, data loss, consequential losses, interruptions, force majeure events, and losses beyond the amount paid under the relevant contract.

Roshanal is a limited liability entity and you agree not to pursue personal claims against its officers or employees for losses connected with marketplace use.

You agree to indemnify Roshanal against losses, damages, costs, liabilities, and expenses arising from your use of the marketplace or your breach of these terms or related policies.

Where Roshanal believes you have breached these terms, it may suspend or prohibit access, block IP addresses, suspend or delete accounts, or commence legal action.

These general terms and conditions, together with Roshanal's codes, policies, guidelines, and seller terms where applicable, constitute the entire agreement regarding marketplace use.

Where there is a conflict, these general terms and conditions prevail first, followed by seller terms and then Roshanal codes, policies, and guidelines.

Roshanal may revise these terms, seller terms, and policies from time to time, and revised terms apply from the date of publication on the marketplace.

Any waiver of a breach is not a waiver of any later breach of the same or another provision.

If any provision is determined to be unlawful or unenforceable, the remaining provisions continue in effect, and unenforceable provisions may be read down where possible.

Roshanal may assign or subcontract its rights and obligations under these terms. You may not do so without prior written consent.

These terms benefit Roshanal and you and are not intended to be enforceable by any third party.

These general terms and conditions are governed by the laws of the Federal Republic of Nigeria, and disputes are subject to the exclusive jurisdiction of Nigerian courts.

You may contact Roshanal using the company details made available on the website, and you consent to receive marketplace notices electronically by website publication or email.
